13 JOINT-STOCK COMPANY
Акционерная компания
Деловое предприятие, в основе которого лежит объединение капиталов его акционеров. Каждый инвестор владеет акциями компании соответсвенно сумме вложенного капитала и имеет право на прибыль в виде дивидендов. Акционерная компания является самостоятельным юридическим лицом и имеет право заключать договоры с производителями и потребителями. Деятельностью компании управляет совет директоров (см. Board of directors), которые назначаются акционерами на ежегодном общем собрании (см. Annual general meeting). Несмотря на то, что акционеры являются собственниками компании, реальные рычаги управления ею находятся в руках совета директоров. В Великобритании введение принципа ограниченной ответственности, который свел максимальные потери акционеров в случае банкротства компании к сумме вложенного ими капитала, способствовало увеличению числа акционерных обществ. Такая мера привлекла большое количество инвесторов. Акционерные компании бывают двух видов. Это частные компании (private companies), количество акционеров которых ограничивается пятьюдесятью и акции которых не обращаются на фондовой бирже. Такие компании имеют в названии аббревиатуру Ltd (общества с ограниченной ответственностью). Имеются также открытые (публичные) компании (public companies), которые могут иметь неограниченное число держателей акций, но не менее семи. Акции публичных компаний свободно обращаются на фондовой бирже и, следовательно, доступны широкой публике. В их название включается аббревиатура Plc (публичная компания с ограниченной ответственностью) (см. Limited liability).
